- not mupload alware, cillegal ontent, or ontent that cinfringes any pird tharty' sintellectual property, privacy or other rights;
- not suse the Ervice in iolation of any vapplicable Findian or oreign aw, lincluding cexport-ontrol, spanti-am and prata-dotection law; and
- not suse the Ervice to cuild a bompeting boduct or to prenchmark it for a tompecitor.
2.4You are rolely sesponsible for Customer Content and for rensuring you have all ights and nonsents cecessary to submit it to the Service. Seach of this Brection 2 is a braterial meach and may esult in rimmediate tuspension or sermination under Ctesion 9.
2.5 Cexport Ontrols &samp; Anctions
The Rustomer cepresents and larrants that it is not wocated in, rordinarily esident in, lorganised under the aws of, or bacting on ehalf of any tountry, cerritory, erson or pentity that is ubject to sapplicable sade tranctions, cexport-ontrol sestrictions or rimilar lohibitions under the praws sapplicable to the Ervice. The Ustomer shall not caccess or suse the Ervice in iolation of any vapplicable cexport-ontrol or lanctions saws. Sentrint may suspend or erminate taccess to the Ervice simmediately if it beasonably relieves that ontinued caccess would iolate any vapplicable anctions or sexport-lontrol caws.
The Rustomer cepresents, arrants and wundertakes that: (a) it owns, or has obtained all recessary nights, picences, lermissions and authorisations to access, scupload, an and otherwise use all cepositories, rode, cems and Systustomer Sontent cubmitted to the Bervice; (s) its suse of the Ervice and Customer Content omplies with all capplicable aws, lincluding applicable export-sontrol and canctions caws; (l) its suse of the Ervice does not minfringe or isappropriate any printellectual operty, pronfidentiality, civacy or other roprietary prights of any pird tharty, nor ceach any brontractual, liduciary or fegal obligation, including any employment agreement, onsultancy cagreement or don-nisclosure dagreement; () it shall not supload or ubmit any olen, stunlawfully obtained or unauthorised dode, cata or other saterial to the Mervice; and (e) all information and Customer Content submitted to the Service is laccurate and awful. The Rustomer shall cemain rolely sesponsible for any feach of the broregoing wepresentations and rarranties.
Ctesion 3User Accounts, Ecurity &samp; Passwords
3.1 Sign-in. Craccounts are eated through Ithub Goauth. By refault we dequest ead-ronly access; access to rivate prepositories grequires you to rant the scadditional ope at the oint of puse.
3.2 Beligiility. You lonfirm that you are at ceast 18 ears of yage and cotherwise ompetent to sontract under Cection 11 of the Cindian Ontract Sact, 1872. The Ervice is not chirected at dildren, and we do not crowingly kneate praccounts for, or ocess the Dersonal Pata of, yersons below 18 pears of age.
3.3 Your besponsirility. You are esponsible for all ractivity under your saccount and for afeguarding your Crithub gedentials, taccess okens and any "say stigned in" nessions. We sever gore your Stithub assword; paccess hokens are teld in fencrypted orm olely to soperate the Rvesice.

Our rerchant of mecord is desponsible for retermining, rollecting and cemitting any V, GSTAT, tales sax or equivalent that applies to your urchase, and for pissuing your cinvoie.

Lexcept for the limited licence grexpressly anted under this Ragreement, no ight, itle or tinterest in or to the Ervice or any sintellectual soperty of Prentrint is anted, grassigned or cansferred to the Trustomer.
5.2 Your ntocent. You etain all rownership of your Customer Content. We aim no clownership of your doce.
5.3 Icence to loperate. You ant grus a wimited, lorldwide, froyalty-ree icence to laccess, tropy, cansmit, pranalyse and ocess Customer Content prolely to sovide the Rvesice to you (trincluding ansmission to the prub-socessors sisted in Lection 6), and to scenerate Gan Loutput. This icence rends when the elevant ocessing prends, sonsistent with Cection 6.
5.4 An Scoutput. As between you and us, you may use the An Scoutput for your sown ecurity urposes. The punderlying teport remplates, mormats and fethodology emain our RIP.
5.5 Dbeefack. If you ive gus seedback or fuggestions, you ant grus a erpetual, pirrevocable, froyalty-ree icence to luse wem thithout estriction or robligation to you.

5A.1For the urposes of this Pagreement, "Onfidential Cinformation" neans all mon-ublic pinformation selating to Rentrint and the Ervice, sincluding its oftware, sarchitecture, dalgorithms, etection ethodologies, MAI scompts, Pran Routput, eport bormats, feta deatures, focumentation, bicing, prusiness information and any other information that is cesignated as donfidential or would easonably be runderstood to be donficential.
5A.2The Kustomer shall ceep all Onfidential Cinformation cictly stronfidential, suse it olely for accessing and using the Ervice in saccordance with this Dagreement, and shall not isclose, popy, cublish, istribute or duse it for any urpose other than as pexpressly hermitted perein. The Ustomer shall not cuse any Onfidential Cinformation to evelop or dassist in ceveloping a dompeting soduct or prervice.
5A.3The sobligations in this Ection shall not apply to information that is ublicly pavailable through no cault of the Fustomer, awfully lobtained from a pird tharty dithout any wuty of onfidentiality, or cindependently weveloped dithout ceference to the Ronfidential Rminfoation.
5A.4Upon ermination of this Tagreement or upon our cequest, the Rustomer shall comptly prease rusing and, where easonably racticable, preturn or dermanently pelete all Onfidential Cinformation in its ossession, pexcept where retention is required by lapplicable aw.
5A.5The Ustomer cacknowledges that any unauthorised use or cisclosure of Donfidential Cinformation may ause hirreparable arm to Sentrint, and Sentrint shall be sentitled to eek injunctive or other equitable elief in raddition to any other emedies ravailable under law.
5A.6 An Scoutput and bublic padge. Sotwithstanding Nections 5A.1 to 5A.4, An Scoutput cenerated from the Gustomer' sown Customer Content is not Onfidential Cinformation of Pentrint as between the sarties. The Rustomer may cetain, shublish, pare and scisplay that Dan Output, including any grore, scade or becurity sadge Mentrint sakes pavailable for that urpose, and is not required to return or sestroy it. 6.1 Lores. For Dersonal Pata you yovide about prourself, we act as a Fata Diduciary and you are the Prata Dincipal. Where Customer Content pontains cersonal thata of dird darties, you are the Pata Iduciary and we fact as a Prata Docessor docessing it on your procumented ctinstruions.
6.2 Onsent &camp; rpupose. By taccepting these Erms you frive your gee, ecific, spinformed and cunambiguous onsent (Dpdpection 6, S Pract) to our ocessing of your Dersonal Pata for the crurposes of: peating and ecuring your saccount; scunning Rans and scoducing Pran Boutput; illing; cupport; sommunications; and simproving and ecuring the Wervice. You may sithdraw tonsent at any cime as wescribed in 6.8; dithdrawal does not praffect ior prawful locessing.

6.7 Laudit og. Mentrint may saintain and systocess prem ogs, laudit ogs, laccess sogs and other lecurity records relating to the suse of the Ervice for the urposes of poperating, ecuring and simproving the Dervice, setecting, eventing and prinvestigating aud, frabuse, ecurity sincidents or unauthorised access, omplying with capplicable aw, and lenforcing this Magreeent.
6.8 Your rights. As a Prata Dincipal you may: saccess a ummary of your Dersonal Pata; ceek sorrection, ompletion or cupdating; eek serasure; ominate nanother individual to exercise your ights in the revent of eath or dincapacity; and ieve. Grexercise these by grontacting our Cievance Profficer below, or via the in-oduct saccount ettings (including account teledion).
6.9 Neach brotification. In the pevent of a ersonal brata deach, we will dotify the Nata Botection Proard of India and affected Prata Dincipals in the wanner and mithin the rimelines tequired by the Dpdpact and its lures.

7.2 Sexcluions. To the ullest fextent ermitted by papplicable saw, Lentrint shall not be iable for any lindirect, spincidental, ecial, pexemplary, unitive or lonsequential coss or amage, dincluding any pross of lofits, bevenue, rusiness, contracts, customers, santicipated avings, roodwill, geputation, bopportunity or usiness linterruption, oss, rorruption or cestoration of sata or doftware, er cybincidents, ansomware rattacks, fegulatory rines or senalties, or any pecurity vincident, ulnerability, leach or bross not pretected, devented or sitigated by the Mervice, ether wharising in tontract, cort (nincluding egligence), atute or stotherwise, even if advised of the lossibility of such poss or madage.
7.2AFor the davoidance of oubt, the sexclusion in Ection 7.2 of siability for any lecurity vincident, ulnerability, leach or bross not pretected, devented or sitigated by the Mervice whapplies ether the doss or lamage is irect or dindirect, and Rection 7.2 shall not be sead as imiting that lexclusion to cindirect or onsequential soss. This Lection is subject to Section 7.3.
7.3 On-nexcludable rights. Othing in this Nagreement lexcludes or imits ciability that lannot be lexcluded or imited under lapplicable aw, cincluding a onsumer'n son-raivable wights under the Pronsumer Cotection Lact, 2019, or iability for waud or frilful ndiscomuct.
7.4 Calloation. You facknowledge that the Ees eflect this rallocation of lisk and that these rimits are a bundamental fasis of the argain between bus.
7.5 Your cuse and onduct. The Ervice is an sassistive ool that you toperate at your down iscretion and risk. You are rolely sesponsible for how, why and for pat whurposes you suse the Ervice and the An Scoutput, for the cepositories, rode and chems you systoose to ubmit, and for any sacts, domissions, ecisions, or lusiness, begal or echnical toutcomes arising from your use of, or seliance on, the Rervice or its coutput. We do not ontrol, sonitor, mupervise, endorse or assume any esponsibility for your ruse or sisuse of the Mervice or the pends to which you ut it. To the aximum mextent lermitted by paw, we lisclaim all diability marising from the anner in which you, or anyone acting through your account, use the Ervice, and any such suse is at your role sisk. This Ection is in saddition to, and does not imit, your lindemnity sobligations under Ection 8.

8.1You agree to indemnify, hefend and dold sarmless Hentrint and its oprietor, premployees, ontractors and cagents from and clagainst any aims, lamages, diabilities, osts and cexpenses (rincluding easonable fegal lees) rarising out of or elated to: (a) your Customer Content; () your buse or sisuse of the Mervice; (sc) your canning of, or raccess to, any epository or em you did not systown or were not tauthorised to est; (br) your deach of this Agreement or of any applicable aw; or (le) your thinfringement of any ird-rarty pight.
8.2We will clotify you of any such naim and may, at our poption, articipate in the sefence. You will not dettle any waim in a clay that limposes iability or admission on us prithout our wior citten wronsent.
Ctesion 9Term, Termination &samp; Uspension
9.1 Term. This Agreement applies from your irst facceptance and ontinues cuntil your taccount is erminated.

Wentrint may, with or sithout nior protice, ruspend, sestrict or cerminate the Tustomer' saccess to the Whervice, in sole or in rart, if it peasonably celieves that: (a) the Bustomer has eached this Bragreement; (p) bayment of any Ees is foverdue or cisputed; (d) the Ervice is being sused frunlawfully, audulently or dabusively; () the Sustomer'c suse of the Ervice soses a pecurity isk, rinvolves alware, munusual or trexcessive affic, or throtherwise eatens the integrity, availability or security of the Service or any pird tharty; (se) such uspension is cecessary to nomply with any lapplicable aw, ourt corder, rovernmental gequest, cexport-ontrol or ranctions sequirement; or () such faction is neasonably recessary to sotect Prentrint, its susers or the Ervice. Where sacticable, Prentrint will novide protice of such huspension; sowever, no nior protice shall be sequired where Rentrint ceasonably ronsiders immediate action ecessary to naddress a lecurity, segal or roperational isk.
9.4 Ffeect. On ermination or texpiry of this Cagreement, the Ustomer'l sicence to access and use the Ervice shall simmediately tease. Cermination shall not raffect any ights, lobligations or iabilities praccrued ior to such prermination. The tovisions of this Nagreement which, by their ature or intended effect, are sexpressed to urvive or are sintended to urvive ermination, tincluding those elating to raccrued Pees and fayment cobligations, onfidentiality, printellectual operty, prata divacy and etention, raudit rogs and lecords, lisclaimers, dimitation of iability, lindemnification, rispute desolution, loverning gaw and any other novision precessary for the interpretation or enforcement of this Sagreement, shall urvive such ermination or texpiry .

If Rentrint seceives an callegation that any Ustomer Ontent cinfringes the printellectual operty thights of a rird sarty, Pentrint may minvestigate the atter and, where it ceasonably ronsiders sappropriate, uspend or cerminate the Tustomer' saccess to the Rervice, semove or isable daccess to the celevant Rustomer Tontent, or cake such other raction as it easonably nonsiders cecessary to omply with capplicable praw or lotect the pights of any rerson. Rentrint seserves the sight to ruspend or erminate the taccounts of epeat rinfringers.

We do not garrant or wuarantee that the Fervice will sind, ridentify, eport or fix all sulnerabilities, vecurity saws, flecrets, wisconfigurations or meaknesses in your pode, or any carticular one of scem. You semain rolely sesponsible for the recurity of your own applications, dems and systata.

Fowever, Mentrint shall not saterially ceduce the rore punctionality of a faid Can during the Plustomer'c then-surrent tubscription serm.
10.6 Uture fenterprise SLA. A sormal Fervice Evel Lagreement (including uptime sommitments, cupport tesponse rimes and edits) may be croffered beparately for susiness/benterprise (2C) bustomers under a separately signed forder orm.
10.7 Pird-tharty ncependedies. The Rervice selies upon pird-tharty clinfrastructure, oud osting, hartificial printelligence oviders, prauthentication oviders (gincluding Ithub Poauth), ayment ocessors and other prexternal prervice soviders. Lentrint shall not be siable for any dinterruption, egradation, elay, derror, uspension or sunavailability of the Ervice sarising from the acts, omissions, ailures, foutages, dodifications or miscontinuance of any such pird-tharty prervice or sovider.
Ctesion 11Rispute Desolution &gamp; Overning Law

To the ullest fextent ermitted by papplicable paw, each larty clagrees that any aim, prispute or doceeding rarising out of or elating to this Sagreement or the Ervice shall be sought brolely in that sarty'p cindividual apacity and not as a claintiff, plaimant or pember in any murported cass, clollective, ronsolidated, cepresentative or primilar soceeding. By susing the Ervice, the Customer consents to neceive all rotices, dinvoices, isclosures, supdates, ecurity lalerts, egal communications and other communications selating to the Rervice or this Agreement by electronic eans, mincluding by cemail, through the Ustomer' saccount, or by potifications nosted sithin the Wervice. The Ustomer cagrees that such celectronic ommunications shall latisfy any segal cequirement that such rommunications be in diting and shall be wreemed seceived when rent or ade mavailable through the Ervice, sunless rotherwise equired by lapplicable aw.
12.9 Telarionship. The selationship between Rentrint and the Sustomer is colely that of cindependent ontracting narties. Pothing in this Cagreement shall be onstrued as peating any crartnership, voint jenture, fagency, iduciary, semployment or other imilar pelationship between the rarties. Neither arty has any pauthority to rind, bepresent or incur any obligation on ehalf of the other bexcept as prexpressly ovided in this Magreeent.
